Job Summary:

SayPro is seeking an experienced and detail-oriented Governance Officer to oversee and enhance our governance frameworks and compliance processes. The Governance Officer will be responsible for ensuring that SayPro adheres to high standards of corporate governance, manages risks effectively, and maintains robust internal controls. This role requires a strong understanding of governance best practices, regulatory requirements, and risk management.

Key Responsibilities:

Governance Framework:  Develop, implement, and maintain governance policies, procedures, and frameworks that align with industry best practices and regulatory requirements.

Compliance Oversight: Monitor compliance with internal policies, external regulations, and legal requirements. Conduct regular audits and assessments to ensure adherence to governance standards.

Risk Management: Identify, assess, and mitigate governance and compliance risks. Develop and implement risk management strategies and contingency plans.

Board Support: Assist in preparing materials for board meetings, including agendas, reports, and minutes. Support the board in fulfilling its governance responsibilities and maintaining effective oversight.

Internal Controls: Evaluate and enhance internal controls to ensure effectiveness and compliance. Oversee the implementation of control measures and address any identified weaknesses.

Training and Awareness:Develop and deliver training programs to educate staff and management on governance, compliance, and risk management policies and practices.

Reporting: Prepare and present regular reports on governance, compliance, and risk management to senior management and the board. Provide recommendations for improvements and address any issues identified.

Policy Development: Draft and update governance-related policies and procedures. Ensure that all policies are current, relevant, and effectively communicated across the organization.

Stakeholder Engagement:** Collaborate with internal and external stakeholders, including regulatory bodies, auditors, and legal advisors, to address governance-related matters and ensure effective communication.

Qualifications:

Education:** Bachelor’s degree in Business Administration, Law, Finance, or a related field. A master’s degree or professional certification (e.g., Certified Compliance & Ethics Professional, Certified Internal Auditor) is a plus.

Experience: Minimum of 5 years of experience in governance, compliance, or risk management roles. Previous experience in a corporate governance position or a related field is highly desirable.
